The merged company will carry the Verigy name. LTX-Credence shareholders will receive a fixed exchange ratio of $0.96 shares of Verigy stock or Holdco stock for each share of LTX-Credence stock. Upon closing, Verigy or Holdco, as applicable, will issue approximately 49 million shares on a fully diluted basis to complete the transaction. The company announced today that its board of directors has authorized the company’s management to explore a potential leveraged spin-off of its Rainbow Media Holdings LLC business to Cablevision’s stockholders, which would be structured as a tax-free pro rata distribution to stockholders. Higher One Holdings Inc continued to trade higher this morning thanks to last week’s news that Goldman Sachs has boosted their ESP estimate on the company. Goldman Sachs released a released a price target of $17.00 and a “neutral” rating. Last week the company also released Q3 earnings that beat analysts’ estimates.
