ATC Technology Corp. (ATC) said Monday it has agreed to be acquired by privately held Genco Distribution System Inc. for $512.6 million in cash. ATC, an engineering and supply chain logistics firm based in Downers Grove, said the boards of ATC and Genco have approved the deal. Shareholders still need to approve the acquisition. The deal would make ATC a subsidiary of Genco, a logistics services company based in Pittsburgh. The deal calls for ATC shareholders to get $25 per outstanding share, a 43 percent premium over the company's closing price on Friday. ATC’s shares traded at $24.31 in early trading up nearly forty percent.
Cypress Bioscience (CYPB) rallied on news that one of its largest investors has bid $154 million for the small-cap biotech firm. Shares of Cypress zoomed up almost 40% to $3.41. Earlier Monday, Cypress said it was evaluating a $4 a share offer from hedge fund Ramius, a bid that represents an almost 60% premium over Cypress' closing price on July 16. Ramius already owns nearly 10% of Cypress. Shares responded in early trading up 32 percent on massive volume.
